Important Notice:

These terms are a starting point only. You may wish to obtain independent legal advice before you decide on the best terms (if any) to set between you and an Add-on Customer, particularly relating to the risk of liability if your Add-on (or Customer) acts in a way you might not expect. You are not required to present a particular set of terms to any Customer in respect of any particular Add-on, provided that you:

1. Grant the Customer a non-exclusive, worldwide, subscription license to perform, display, and use the Add-on and any content legitimately contained in, accessed by, or transmitted through the Add-on in connection with the PaperCut software or services; and

2. Promise to keep the Customer’s personal information, and any personal information provided to you via the Customer’s (or their end users’) use of the Add-on, private in such a way that complies with all applicable privacy laws. The best way to do this is to maintain a legally compliant privacy policy and ensure that the Customer understands that any personal information will be handled in accordance with it.

Please don’t simply paste this template into your Add-on - at a minimum you need to insert your Add-on name, company details and privacy policy in the places marked with [square brackets].

Terms of Use for [Add-on].

1. Our relationship

   1. As soon as you accept these Terms of Use by either signing them, clicking a button or a box, or by installing or using the [name of Add-on] (the “Add-on”) these terms form a legal agreement between you and us, which we’ll call the “Terms”. “Us” or “we” or “our” refers to [full legal name of Developer or Developer’s trading entity].

   2. By accepting these Terms on behalf of your organization, you warrant and represent that you have that organization’s full legal authority to accept the Terms on the organization’s behalf.

   3. You may not use the Add-on and may not accept the Terms if (a) you are not of legal age to form a binding contract with us; (b) you are not authorized by the organization on whose behalf who are attempting to accept the Terms; or (c) you are nt legally allowed to use the Add-on for any reason.

2. Use of the Add-on

   1. You agree to use the Add-on only for purposes that are permitted by (a) the Terms and (b) any applicable law or regulation.

   2. You agree that you will not knowingly do anything that interferes with or disrupts the Add-on, or anything that supports the Add-on or other services provided to you by us or our suppliers.

   3. You agree that you will not reproduce, duplicate, copy, attempt to create a substitute or similar service to the Add-on.

   4. You agree that you are solely responsible for any breach of your obligations under these Terms and for the consequences (including any loss which we may suffer) of any breach.

3. Privacy

   1. You are responsible for any personal information that you make available to us or our Suppliers via the Add-on.

   2. Any personal information you make available to us will be treated in accordance with our Privacy Policy, which you and your end users can see [here].

   3. You agree to the use of your personal data in accordance with our Privacy Policy.

   4. You are responsible for the information which you or your users choose to directly share with us. Importantly, you warrant that any of your users whose personal information is provided to us has consented to the processing of that personal information in accordance with our Privacy Policy.

4. License

   Subject to your compliance with these Terms and our broader Agreement (including the timely payment of any fees due to us or our suppliers, and compliance with any agreement between you and PaperCut Software International or its affiliates) we grant you a non-exclusive, worldwide, subscription license to perform, display, and use the Add-on and any content legitimately contained in, accessed by, or transmitted through the Add-on in connection with the PaperCut software or services.

5. Updates

   We may provide updates to the Add-on, designed to improve, enhance and further develop the Add-on. These may take the form of bug fixes, enhanced functions and completely new versions. You agree to receive such updates (and permit us to deliver these to you) as part of your use of the add-on.

6. Termination

   We may terminate this legal agreement with you:

   1. if you have breached any part of the Terms (or have acted in a manner which shows that you do not intend to, or are unable to comply with the Terms); or

   2. if we are required to do so by law or by our binding arrangements with our suppliers (for example, where the provision of the Add-on to you is, or becomes, unlawful); or

   3. if we are transitioning to no longer providing the Add-on to users in your area.
